Warning pop up window

I keep getting a little pop up window {about 3"X3"} in the middle of my screen and there's nothing on it but Warning on the upper top left corner
and a little box that says OK in it down towards the middle bottom;
and a little box to check that says: Do not show this message anymore. That's it. Nothing else is showing inside the box so I have no idea what it is or where it comes from. I've checked the box "do not show anymore" but it keeps coming back. I close it out with the x on right corner but the next time I do anything it comes back up. Nothing happens when I right or left click. Any suggestions on how to get rid of this thing. It's very annoying.
I'm using Win. Xp with IE 6.

In addition, can you tell us what Task Manager indicates for the pop up?  Ctrl+Shift+Esc > on the Applications tab, what do you see under Task?

I ran an avast scan but not malwarebytes' Anti-Malware scan.
I will go do that right now and report back.

When the pop up box comes up I noticed a Menu button that wasn't there before right under File {left corner}; and when I opened it I saw

Uninstall

This Menu wasn't there before.

It appears to be related to the AVG toolbar.  I thought you were going with Avast?  If so, you don't want two antivirus software programs on your computer.  Uninstall AVG via Add/Remove programs.

I'm working on that now. Didn't realize I still had any remnants of AVG left but according to search in files and folders there's still 55 items referring to AVG after doing an uninstall; so I'm going to reinstall and uninstall again. We'll see what happens.
I haven't seen the pop up in a while so maybe it's gone but I still want to be rid of all traces of AVG. It hasn't been in my programs so I didn't think it was there anymore. Goes to show what I get for thinking.

Pop up is gone!!! Every trace of AVG is gone and so is the popup. I've tried different things so not sure what worked but just wanted to thank you all again for the help. I would not have known where to start without the advice.
